Agreement to Terms

Welcome to UsefulWriter LLC. These Terms of Service ("Terms") constitute a legally binding agreement between you and UsefulWriter LLC ("we," "us," "our," or "UsefulWriter") regarding your use of our websites and services, including UsefulWriter.com, ActiveLessons.com, NarrativeSTUDIO, and any related services (collectively, the "Service" or "Services").

By using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Who We Are

UsefulWriter.com, ActiveLessons.com, and NarrativeSTUDIO are owned and operated by UsefulWriter LLC, a Virginia limited liability company.

Our Services

UsefulWriter LLC operates multiple services under this agreement:

We reserve the right to modify, suspend, or discontinue any aspect of any Service at any time, with or without notice.

Eligibility

Age Requirements

Age requirements vary by service:

• ActiveLessons.com: You must be at least 13 years of age to subscribe. If you are between 13 and 18 years old, you represent that you have obtained permission from your parent or legal guardian to use the Service, and that they have read and agreed to these Terms on your behalf.
• NarrativeSTUDIO: You must be at least 18 years of age and have the legal authority to bind yourself or your organization to these Terms. NarrativeSTUDIO is a business-to-business service intended for commercial clients.

Geographic Restrictions

Our Services are intended for users in the United States. We make no claims that our Services are appropriate or available for use outside of the United States. If you access our Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Account Registration and Subscriptions

ActiveLessons.com Newsletter

When you subscribe to our newsletter, you agree to:

• Provide accurate and complete information
• Maintain the security of your subscription
• Accept responsibility for all activities under your subscription
• Notify us immediately of any unauthorized use

NarrativeSTUDIO Subscriptions

When you subscribe to NarrativeSTUDIO, you agree to:

• Provide accurate business and billing information
• Maintain current payment information on file
• Designate authorized contacts for your account
• Complete a required Planning and Strategy Call before services commence
• Accept responsibility for all activities under your account

NarrativeSTUDIO Service Terms

The following terms apply specifically to NarrativeSTUDIO subscription services:

Service Commencement

Before any NarrativeSTUDIO subscription begins:

1. Planning and Strategy Call: A planning and strategy call of approximately 30 minutes is required. This call must be completed before any content creation begins.
2. Topic Selection: All narrative topics for your subscription period must be decided during the Planning and Strategy Call.
3. Brand Guidelines: Any brand guidelines, style preferences, voice requirements, or other guidance you want followed must be declared during the Planning and Strategy Call.

Failure to complete the Planning and Strategy Call or provide necessary guidance does not extend or delay billing cycles.

Payment Terms

• Payment Method: All NarrativeSTUDIO subscriptions require payment via ACH (Automated Clearing House) bank transfer.
• Payment Timing: Payment is due in full at the beginning of each monthly billing cycle, before work commences.
• Work Product Delivery: No work product will be created or delivered until payment for the current billing period has been received and cleared.
• Failed Payments: If payment fails or is not received, services will be suspended until payment is successfully processed.

Subscription Commitment

• Initial Commitment: New NarrativeSTUDIO subscriptions require a minimum three-month commitment.
• Cancellation: After the initial commitment period, you may cancel your subscription at any time. Cancellation will take effect at the end of your current monthly billing period.
• No Partial-Month Refunds: If you cancel mid-cycle, your subscription remains active through the end of the current billing period. No prorated refunds will be provided.

Intellectual Property and Work Product

Ownership Transfer

Upon final delivery and satisfaction of each work product:

• All rights, title, and interest in the delivered work product transfer to you (the client)
• This includes all copyrights, reproduction rights, and derivative work rights
• You may use, modify, distribute, and commercialize the delivered work product without restriction

Work-in-Progress

Important: UsefulWriter LLC retains all ownership rights to work-in-progress until:

1. The work product has been delivered to the client, AND
2. The client has confirmed satisfaction with the deliverable

If a subscription is terminated or payment is not received, UsefulWriter LLC retains all rights to any undelivered or unsatisfactory work product.

Portfolio Rights

UsefulWriter LLC reserves the right to display delivered work in our portfolio for promotional purposes, unless you specifically request in writing that your work remain confidential. Portfolio display rights do not affect your full ownership of the work product.

Delivery Guarantee and Service Credits

Exceptions to Delivery Guarantee

The delivery guarantee does not apply when delays are caused by:

• Client delays in providing required materials, approvals, or feedback
• Changes to project scope or topics requested by the client after the Planning and Strategy Call
• Force majeure events (see Force Majeure section)
• Failure to complete the required Planning and Strategy Call
• Failure to provide payment on time

Client Responsibilities

To ensure timely delivery, clients must:

• Complete the Planning and Strategy Call before services commence
• Provide all necessary brand guidelines, voice requirements, and creative direction during the Planning and Strategy Call
• Finalize all topics during the Planning and Strategy Call
• Respond to any clarifying questions in a timely manner
• Maintain current payment information and ensure timely payment

Failure to meet client responsibilities may delay delivery and voids the delivery guarantee for affected work products.

Acceptable Use

Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

1. In any way that violates federal, state, local, or international law
2. To transmit any unsolicited or unauthorized advertising or promotional material
3. To impersonate or attempt to impersonate UsefulWriter LLC, our employees, other users, or any other person or entity
4. To engage in any conduct that restricts or inhibits anyone's use of our Services
5. To use any robot, spider, or other automatic device to access our Services for any purpose
6. To introduce viruses, trojan horses, worms, or other malicious or technologically harmful material
7. To attempt to gain unauthorized access to any portion of our Services or any other systems or networks
8. To harass, abuse, or harm another person
9. To use another person's subscription or account without permission
10. To share, distribute, or resell our content without explicit permission (except for NarrativeSTUDIO work product you have received and own)

Content Restrictions

You may not:

• Copy, reproduce, or redistribute our proprietary content (newsletters, website content, marketing materials) for commercial purposes
• Remove copyright, trademark, or other proprietary notices from our materials
• Create derivative works from our proprietary content without permission
• Use our proprietary content to train AI models or machine learning systems without permission

Note: These restrictions do not apply to NarrativeSTUDIO work product that has been delivered to you and which you own.

Enforcement

We reserve the right to:

• Investigate violations of these Terms
• Take appropriate legal action against violators
• Terminate or suspend access to our Services for any violation
• Cooperate with law enforcement authorities

Intellectual Property Rights

Our Proprietary Content

All proprietary content on our websites and in our communications, including but not limited to:

• Text, graphics, logos, images
• Newsletter content and educational materials
• Website design and layout
• Software and code
• Marketing materials and service descriptions
• Trademarks and service marks

are owned by or licensed to UsefulWriter LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License for Proprietary Content

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our Services for personal or internal business purposes
• Receive and read our newsletter and educational content
• Print individual newsletter issues for your personal use only

Trademarks

"UsefulWriter," "ActiveLessons," "NarrativeSTUDIO," and all related logos and marks are trademarks of UsefulWriter LLC. You may not use these marks without our prior written permission.

User Conduct and Termination

Your Responsibilities

You agree to:

• Use our Services in a respectful and lawful manner
• Comply with all applicable laws and regulations
• Respect the rights of other users and third parties
• Maintain the confidentiality of any account credentials
• Communicate professionally with our team

Our Rights to Terminate

We may terminate or suspend your access to any Service immediately, without prior notice or liability, for any reason, including but not limited to:

1. Violation of Terms: Breach of any provision of these Terms
2. Abusive Behavior: Harassment, threats, or abuse directed at our team, other users, or third parties
3. Fraudulent Activity: Providing false information or engaging in fraudulent conduct
4. Payment Issues: Failure to pay for paid services when due
5. Illegal Activity: Using our Services for unlawful purposes
6. System Abuse: Attempts to disrupt, damage, or gain unauthorized access to our systems

Effect of Termination

Upon termination:

• Your right to use our Services will immediately cease
• You will no longer receive newsletter communications or other service deliverables
• For NarrativeSTUDIO clients: you will retain ownership of all previously delivered and accepted work product, but will not receive any work-in-progress
• We are not liable for any loss or damage resulting from termination

Your Right to Cancel

ActiveLessons.com: You may unsubscribe from our newsletter at any time by clicking the "unsubscribe" link in any email or contacting us.

NarrativeSTUDIO: After completing your minimum commitment period, you may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

Disclaimers and Limitation of Liability

No Warranties

Our Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

We specifically disclaim all warranties, including but not limited to:

1. Accuracy: We do not warrant that any content is accurate, complete, reliable, current, or error-free
2. Availability: We do not guarantee uninterrupted, timely, secure, or error-free service
3. Results: We make no guarantee about the results you may achieve from using our Services or content
4. Merchantability: No warranty that our Services are fit for any particular purpose
5. Non-Infringement: While we strive to respect intellectual property, we cannot guarantee all content is free from third-party claims

Maximum Liability

Our total liability to you for any claim arising from or related to these Terms or our Services shall not exceed:

• For free services (including ActiveLessons.com): $0 (zero dollars)
• For paid services (including NarrativeSTUDIO): The amount you paid us in the 12 months preceding the claim, or the fees for the specific deliverable at issue, whichever is less

Refund Policy

Indemnification

You agree to defend, indemnify, and hold harmless UsefulWriter LLC and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney's fees) arising from:

1. Your use of our Services
2. Your violation of these Terms
3. Your violation of any third-party rights, including intellectual property rights
4. Any content you submit or share through our Services
5. Your conduct in connection with our Services
6. Your use of NarrativeSTUDIO work product in ways that infringe third-party rights

This indemnification obligation will survive termination of these Terms and your use of our Services.

Third-Party Services and Links

Our Services may contain links to or integrate with third-party websites or services that are not owned or controlled by UsefulWriter LLC.

We have no control over, and assume no responsibility for:

• The content, privacy policies, or practices of third-party websites or services
• Any damages or losses caused by your use of third-party services
• The accuracy, completeness, or usefulness of information on third-party sites

We strongly advise you to read the terms and privacy policies of any third-party websites or services that you visit or use.

Privacy

Your privacy is important to us. Our collection and use of personal information in connection with our Services is described in our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to our Privacy Policy and agree that we may collect, use, and share your information as described therein.

Force Majeure

We shall not be liable for any failure or delay in performance (including delivery of NarrativeSTUDIO work product) due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God (earthquakes, floods, fires, storms)
• War, terrorism, or civil unrest
• Strikes or labor disputes
• Government actions or regulations
• Internet or telecommunications failures
• Pandemics or public health emergencies
• Power outages or infrastructure failures

In the event of a force majeure affecting NarrativeSTUDIO deliveries, we will communicate promptly with affected clients and work to reschedule deliveries as soon as reasonably possible.

Changes to Services and Pricing

Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any aspect of our Services at any time
• Add or remove features without notice
• Change the frequency or format of newsletter delivery
• Introduce new services or offerings

We are not liable to you or any third party for any modification, suspension, or discontinuance of our Services.

Pricing Changes

We reserve the right to change our pricing at any time.

For existing NarrativeSTUDIO subscribers:

• Price changes will take effect at your next renewal period after the change
• We will provide at least 30 days' notice of price increases
• You may cancel before the new pricing takes effect
• Continued subscription after a price change constitutes acceptance of the new pricing

Dispute Resolution and Governing Law

Informal Resolution

Before filing a formal claim, you agree to contact us at hello@usefulwriter.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 60 days.

Arbitration Rules

Arbitration will be conducted as follows:

1. Administrator: Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
2. Location: Arbitration will take place in Charlottesville, Virginia, or another mutually agreed location
3. Costs: Each party will bear its own costs, unless the arbitrator awards costs to the prevailing party
4. Single Arbitrator: Disputes will be resolved by a single arbitrator
5. Written Decision: The arbitrator will provide a written decision with findings of fact and conclusions of law
6. Binding: The arbitrator's decision is final and binding, except for limited judicial review under the Federal Arbitration Act

Class Action Waiver

You and UsefulWriter LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

If this class action waiver is found to be unenforceable, the entire arbitration provision will be void.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

Venue

If arbitration is not applicable or is found to be unenforceable, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Charlottesville, Virginia, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

Our Right to Modify

We reserve the right to modify these Terms at any time. When we make changes:

1. We will update the "Last Updated" date at the top of this document
2. We will post the revised Terms on our website
3. We may notify you via email of material changes (but are not required to do so)

Your Acceptance

Your continued use of our Services after any changes constitutes acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using our Services immediately.

Material Changes

For material changes that significantly affect your rights, we will:

• Provide at least 30 days' notice before the changes take effect
• Clearly identify what has changed
• Give you an opportunity to cancel before the changes apply

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and UsefulWriter LLC regarding our Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.

Survival

The following provisions shall survive termination of these Terms: Intellectual Property Rights, Disclaimers and Limitation of Liability, Indemnification, Dispute Resolution and Governing Law, and General Provisions.
